Terms of Service

Effective: January 5, 2025

Scope of Services

  • Veridian Group LLC provides digital product design, engineering, and related consulting as agreed in individual statements of work (SOWs).
  • Any timelines, deliverables, and acceptance criteria are defined in the applicable SOW.

Engagement & Payment

  • Fees, billing cadence, and payment terms are established in the SOW or master services agreement (MSA).
  • Late payments may pause delivery until accounts are current.

Intellectual Property

  • Custom deliverables are assigned to the client as specified in the governing SOW or MSA, subject to full payment.
  • Pre-existing tools, frameworks, and libraries developed by Veridian Group LLC remain our property; we grant rights necessary to use delivered work.

Confidentiality

  • Both parties will protect confidential information and use it only for fulfilling the engagement.
  • We apply least-privilege access and restrict sensitive project data to authorized personnel.

Data Protection

  • We process client data solely to deliver contracted services and follow reasonable technical and organizational safeguards.
  • We do not sell personal information.

Warranties & Disclaimers

  • Services are provided professionally and in line with agreed specifications. Except as explicitly stated in an SOW or MSA, services are otherwise provided “as is.”
  • We disclaim implied warranties to the fullest extent permitted by law.

Liability

  • To the extent permitted by law, neither party is liable for indirect or consequential damages. Aggregate liability is limited to fees paid or payable for the services giving rise to the claim, unless otherwise stated in the MSA.

Security & Acceptable Use

  • Clients agree not to misuse delivered systems or request actions that violate applicable law or platform terms.
  • We may suspend access to protect security or comply with legal obligations.

Termination

  • Either party may terminate per the MSA or SOW terms. Upon termination, clients pay for work performed and reasonable wind-down costs where applicable.

  • We may update these Terms as our services evolve. Material changes will be posted here with a revised effective date.
