Terms of Service

Effective Date: January 15, 2025 · Veridian Ventures Platform Terms

1. Studio Framework & Scope of Engagements

Veridian Ventures provides enterprise venture incubation, systems engineering co-development, and software platform architecture under individually executed Master Services Agreements (MSAs), Statements of Work (SOWs), and Venture Charter documents.
All project milestones, acceptance criteria, intellectual property assignments, and delivery cadences are defined specifically in the governing contractual instruments.

Custom software deliverables built exclusively for a co-developed venture are assigned in accordance with the governing SOW or Venture Charter, contingent on full satisfaction of agreed terms.
Pre-existing frameworks, proprietary neural kernels, venture synthesis algorithms, and architectural libraries created by Veridian Ventures remain the exclusive intellectual property of Veridian Ventures; clients and co-founders are granted enterprise licenses as designated in their governing agreement.

Both parties agree to treat all proprietary technical specifications, architectural blueprints, financial terms, and strategic theses as strictly confidential information.
We apply least-privilege security controls and compartmentalized data boundaries across all partner engagements.

Enterprise partners and founders agree not to introduce adversarial code, reverse engineer confidential enclaves, or use studio resources in violation of applicable laws or platform security terms.
Veridian Ventures maintains the right to suspend or isolate compute endpoints in the event of detected anomalous perimeter threats.

Services and platforms are engineered to institutional specifications. Except as expressly warranted in a signed MSA, digital preview tools and platform interfaces are provided “as is.”
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages arising from standard platform operations.

Veridian Ventures reserves the right to modify these Terms as platform operations evolve. Continued engagement constitutes acknowledgment of updated terms.
